TSA Support

A Transition Service Agreement can de-risk & accelerate the transition period

What is a TSA?

A Transition Services Agreement (TSA) is a legally binding document that sets out the terms for a seller to continue running or supporting a purchased business unit during a transition phase.

TSAs accelerate the negotiation process and financial close, allowing the deal to move forward without waiting for a buyer to assume full responsibility for the target business unit.

They are most often used in divestitures and carve-outs when the buyer lacks the immediate capacity to support the business on its own. The buyer may need additional time to integrate the business within its own finance, HR, legal, and IT environments.

The Holistic TSA

Ensuring a smooth transition for both sides

Too often we see TSAs put in as an afterthought.

Managing a shorter TSA process is a significant factor in controlling costs. Both parties are keen to avoid a drawn-out transition phase because this eats into value-creation.

A well-structured TSA is a legal framework that protects both buyer and seller against costly negotiations over what is and what is not in scope. It can ensure a smooth transition and exit in the desired timeframe.

Our TSA Services

A flexible, end-to-end service

We provide a range of TSA services that cover everything you might need during the separation.

We can help you draft a
holistic TSA with the correct language, level of detail and necesary legal input.

If required, we can then deploy our Project Management as a Service (PMaaS) to define and run your work streams during the transition.

We have often acted as a third-party negotiator in the past; working to meet the needs of both sides to keep the transition period in budget and on time.
